DearPlatformUser:TheHuaxinCementSupplierManagementSystemOnlineBiddingPlatform(hereinafterreferredtoastheBiddingPlatform)isestablishedbyHuaxinCementCo.,Ltd.,committedtoprovidinguserswithinformationservicesincludingbutnotlimitedtoonlinebidding.Youcanaccesstheplatformathttps://(略)/#/.
IfyouintendtousetheBiddingPlatform,pleasecarefullyreadthisagreementbeforeaccessing,registering,andusingit.Ifyouhaveanyquestionsabouttheagreement,feelfreetocontacttheplatform.Ifyoudonotraiseanyquestions,wewillconsiderthatyouhavefullyunderstoodandacceptedallthecontentsofthisagreement.
I.[GeneralProvisionsoftheAgreement]1.ThisagreementisconcludedbetweentheuserandHuaxinCementSupplierManagementSystemOnlineBiddingPlatform,createdbyHuaxinCementCo.,Ltd.,andhascontractualeffect.
2.Aftersuccessfulregistration,theuserisresponsibleforthecustodyoftheiraccountandpassword;theusershallbearlegalresponsibilityforallactivitiesandconsequencesconductedundertheiraccount,andanydisputesarisingtherefromshallhavenothingtodowiththeplatform.
3.Unlessotherwiseexplicitlystated,theBiddingPlatformistheunifiedbiddingplatformofHuaxinCementCo.,Ltd.,forHuaxinCementCo.,Ltd.anditsaffiliatedunitstocompleterelatedprocurementandbiddingbusinesswithsuppliersontheplatform.Thespecifictransactionpartiesshallbeartheirrespectiveresponsibilitiesandobligationsinthetransaction.Iftheuserdoesnotagreetothetermsofthisagreement,theusershouldimmediatelystoptheregistrationprocessorstopusingtheHuaxinCementSupplierManagementSystemOnlineBiddingPlatformservices.Onlywhentheuserfullyagreestothisagreementandthesite'sregulationscantheyhavetherighttousetherelatedservicesofthissite.
II.[AcknowledgmentofTerms]1.Thetermsandconditionsinterpretedinthisagreement(hereinafterreferredtoas"Terms")areusedtoprovideservicestousersofthebiddingplatform.Thetermsapplytothemaintextofthisagreementandallrules,systems,andannouncementsthatcanbeuploadedorwillbeuploadedtothebiddingplatforminthefuture.Allrules,systems,andannouncementsareaninseparablepartofthisagreementandhavethesamelegaleffectasthemaintextofthisagreement.Theuserpromisestoacceptandcomplywiththeprovisionsoftherelevantrules,systems,andannouncementswhileusingvariousservicesprovidedbythebiddingplatform.
2.Iftheuserhasobjectionstothenewlymodifiedcontent,theycanstopusingtheservicesprovidedbythebiddingplatformafterfulfillingtheuncompletedresponsibilitiesandobligations,andapplytoexitthebiddingplatform.Oncetheusercontinuestousetheservicesprovidedbythebiddingplatform,itmeansthattheuserhasacceptedthemodifiedcontent.Incaseofdisputesbetweentheuserandthebiddingplatform,theresolutionofdisputesshallbebasedonthelatestversionofthisagreement.
3.Theuserguaranteesandagreesthattheenterprise,organization,orindividualregisteredatthetimeofregistrationhasthefullcivilcapacityandcivilcapacityforactionstipulatedbylawandcanindependentlybearcivilresponsibility.Ifnot,theyshouldimmediatelyterminateregistrationorstopusingtheservicesprovidedbythebiddingplatform.Otherwise,theusershallbearthelegalconsequences.
4.Theuservoluntarilyregistersanaccountontheplatform,usestheplatformfunctionsinaccordancewiththelawandingoodfaith,anddeclaresandguaranteesthattherearenoviolationsrelatedtounfaircompetition,corruption,commercialbribery,etc.,inthecommercialactivitiesconductedontheplatform,andthattheyhavenotintentionallyconcealedtheinvestigationsituationsofadministrativepenalties,criminalresponsibilities,orjudicialdisciplineinspectiondepartments.
5.Anynoticesentbythebiddingplatformtotheusercanbecarriedoutthroughanymeansrelatedtotheplatform,suchaswebpages,email,SMS,orregularmail,andthesenoticesaredeemedtohavereachedtheuseronthedayofsending.
III.[ServiceStatement]1.Theservicesdescribedinthisagreementareonlyvalidonthebiddingplatform,andthespecificcontentoftheserviceswillbeprovidedaccordingtotheactualsituationoftheplatform.Theplatformhastherighttoadjusttheservicecontentatanytimeandisnotresponsibletoanyuserorthirdparty.
2.TheBiddingPlatformonlyprovideselectronicbiddingandotherrelatedinformationservices.Inaddition,theequipmentrelatedtotherelatedservices(suchascomputers,modems,andinternet-relatedequipment,etc.)andtherequiredexpenses(suchastelephonechargesandinternetfeesforaccessingtheinternet,etc.)arebornebytheuserthemselves.
3.TheBiddingPlatformdoesnotmakeanycommitmentorguaranteeregardingthevalidity,accuracy,correctness,reliability,quality,stability,completeness,andtimelinessoftheinformationandservicesprovidedonitswebsite.
4.Usersunderstandandacceptthatthetransmissionofanyinformationdependsontheinformationserviceuseritselfandbearsallrisksandresponsibilitiesforsystemdamageordataloss.
5.TheBiddingPlatform'screator,operator,anditsaffiliatedunitsdonotmakeanyexplicitorimpliedcommitmentsorguaranteesforthecommercialprocessbetweenusersofelectronicbiddingandotherinformationservices.
6.Theauthorizationagreeduponinthisagreementisirrevocable.
IV.[RightsandObligationsofUsers]1.UsershavetherighttoaccesstheBiddingPlatformatanytimeusingtheirownusernameandpassword.TheyhavetherighttochoosefromthevariousinformationservicesprovidedbytheBiddingPlatform.
2.Whenregistering,usersmustcarefullyfillinlegal,true,correct,andvalidinformationandareresponsibleforthetruthfulnessofallinformation.Ifthereareanychangesintheuser'sinformation,theyshouldupdateandrequestreviewinatimelymanner.Otherwise,allresponsibilitiesandlossesarisingshallbebornebytheuserthemselves.
3.Aftersuccessfulregistration,theaccountandpasswordaretheresponsibilityoftheusertokeep,nottobesharedorlenttootherunitsforuse.Whenmultiplepeopleusethesameaccount,theaccountuserhastostrengthenassistanceandmanagementfortheaccount.
4.Whenanaccountuseroradministratorleavesthejob,theymustchangethepasswordinadvancetopreventtheleaverfromcontinuingtousetheaccountorarbitrarilychangingthepassword.
5.Iftheuserdiscoversthattheiraccounthasbeenillegallyusedbyothers,theyshouldimmediatelynotifytheBiddingPlatform.TheBiddingPlatform'sestablishmentunit,operationunit,andaffiliatedcompaniesdonotbearanyresponsibilityforhackingorusernegligenceleadingtotheillegaluseofaccountsandpasswords.
6.FilesuploadedtotheBiddingPlatformthroughtheaccount(suchastenderdocuments,businesslicenses,legalpersoninformation,etc.)andrelatedactions(suchasbidding,tendering,informationmodification,etc.)areconsidereduseractions,equivalenttothewilloftheenterprise,organization,orindividualrepresentedbytheuser,andhavethesamelegaleffectassigningandsealing,andtheuserbearsthecorrespondingresponsibilitiesandobligations.
7.UsersarenotallowedtologinwithtwoormoreuseraccountsusingthesameIPaddress.Iffound,therelateduserswillbetemporarilydisqualifiedfrombidding,andaftersubsequentprocessing,itwillbedecidedwhethertheusercancontinuetousetheiraccountandmakebids.
8.Usersmustcomplywiththefollowingprinciplesduringtheuseofthisservice:
(1)ComplywithrelevantlawsandregulationsofthePeople'sRepublicofChina;
(2)Complywithallnetworkprotocols,regulations,andproceduresrelatedtonetworkservices;
(3)Donotusethenetworkservicesystemforanyillegalpurposes;
(4)DonotusetheBiddingPlatformservicetoinfringeonthecommercialinterestsoftheBiddingPlatform,includingbutnotlimitedtopublishingcommercialadvertisementswithoutpermissionfromtheBiddingPlatform;
(5)DonotengageinanybehaviorthatmayadverselyaffectthenormaloperationoftheInternet;
(6)DonotusetheBiddingPlatformservicetoupload,display,ordisseminateanyfalse,harassing,defamatory,insulting,threatening,vulgar,obscene,oranyotherillegalinformation;
(7)Donotinfringeonanythirdparty'spatentrights,copyright,trademarkrights,reputation,privacy,oranyotherlegalrightsandinterests;
(8)DonotengageinanybehaviorthatisdetrimentaltotheBiddingPlatformservice;
(9)Usersarefullyresponsiblefortheinformationtheypost;
(**)Donotengageinanyotheractivitiesthatviolatenationallawsandregulationsortheprovisionsofthisagreement.
V.[ForceMajeureandOtherExemptions]1.Intheeventofforcemajeure(includingbutnotlimitedtonaturaldisasterssuchasfloods,earthquakes,epidemics,storms,andsocialeventssuchaswars,riots,andgovernmentactions),whicharebeyondthecontroloftheBiddingPlatform,resultinginpartialorcompleteinabilitytocarryoutactivities,theBiddingPlatformwillstrivetorepairinatimelymanner.TheBiddingPlatformshallnotbearanyresponsibilityforlossescausedtousersduetoforcemajeure.
2.Withinthescopepermittedbylaw,theBiddingPlatformshallnotbeliableforserviceinterruptionsorhindrancescausedbythefollowingcircumstances,butwillmakeeffortstominimizethelossesandimpactscausedtoyou:
(1)Destructioncausedbycomputerviruses,Trojanhorses,orothermaliciousprograms,orhackerattacks;
(2)Hardwarefailuresoftheuser'sorcentralcomputersystem,communicationlinefailures,andanyfactorsaffectingthenormaloperationofthenetworkduetogovernmentregulations,includingtemporaryclosures;
(3)Servicesuspensionsthatoccurduringsystemmaintenanceandupgradesontheplatform.
3.TheBiddingPlatformdoesnotmakeanydirect,indirect,statutory,orcontractualguarantees,whetherexpressorimplied,foranycontent,services,orotherlinkstootherwebsitesrelatedtotheuser'suseoftheBiddingPlatform.
4.Regardlessofanycause(includingbutnotlimitedtonegligence),theBiddingPlatformshallnotberesponsibleforanylossordamage(includingdirect,indirect,special,orconsequentiallossesordamages,suchaslossofincomeorprofit,damagetocomputersystems,ordataloss)causedtoanypersonthroughtheuseofinformationonthisplatformorinformationlinkedfromthisplatform,orotherwebsiteslinkedtothisplatform.Theresponsibilityshallbebornebytheuser(includingbutnotlimitedtonegligence).
5.TheBiddingPlatformmaydeleteanycontentonthesitethatdoesnotcomplywithlegalpoliciesorisnottruewithoutnotifyingtheuser.
6.IftheuserdoesnotcomplywiththeprovisionsofSectionFourofthisagreement,theBiddingPlatformhastherighttointerruptorterminatetheprovisionofservicestotheuser,hastherighttomakeindependentjudgments,andmaytakemeasuressuchassuspendingorclosingtheaccount,withouttheneedtonotifyorobtaintheuser'sconsent,andshallnotbearanyresponsibilitytotheuseroranythirdparty.
VI.[PrivacyStatement]1.RespectinguserprivacyisafundamentalprincipleoftheBiddingPlatform.TheBiddingPlatformpromisesnottodiscloseanynon-publiccontentsavedbyusersonthewebsite,andwillnotuseuserdataforanypurposesunrelatedtotheservicesagreeduponinthisagreement.Unlesslegallypermitted,required,orinthefollowingthreesituationswheretheBiddingPlatformdeemsitnecessarytodisclosesuchcontent:
(1)TocomplywiththelegalserviceproceduresoftheBiddingPlatform;
(2)Whenitisnecessarytoprovidetothirdpartiesasrequiredbylawsandregulations;
(3)Inemergencysituations,toprotecttheinterestsoftheBiddingPlatformandallusers,andpublicsafety.
2.UserRegistrationInformation:
(1)"UserInformation"includesanyinformation,includingdata,text,photos,drawings,images,phrases,orothermaterials,transmittedtotheBiddingPlatforminanyformduringtheprocessofregistration,purchasingbiddingdocuments,bidding,projectestablishment,preparationofbiddingdocuments,answeringquestions,clarification,openingbids,bidevaluation,biddetermination,objections,andcomplaints.Theusershallbefullyresponsibleforthe"UserInformation".IftheBiddingPlatformdeemsthatthe"UserInformation"violatesthelaws,regulations,andnormativedocumentsofthePeople'sRepublicofChina;publicinterestorpublicmorality;thisagreementandrelatedrules,whichmaycausetheBiddingPlatformtobearanylegalormoralresponsibility,theBiddingPlatformmayindependentlydecidetotakeanyactionitdeemsnecessaryorappropriatetothe"UserInformation",includingbutnotlimitedtodeletingsuchinformation.Theuserherebyguaranteesthattheyhavealllegalrightstothe"UserInformation"submittedtotheplatform.
(2)Theusershallnotcopy,duplicate,sell,resell,oruseanypartofthisserviceortheinformationobtainedfromthisserviceforanyothercommercialpurposes.
(3)TheBiddingPlatformtracksIPaddressessolelyforthenecessityoffairness,justice,andsecurity.Ifnoissuesarefound,thecollectedIPaddresseswillbedeletedpromptly.
3.ExternalLinks:TheBiddingPlatformcontainslinkstootherwebsites.Anycontent,promotion,products,orservicesprovidedonthelinkedwebsitesorresourcesarenotrelatedtothiswebsite,andtheBiddingPlatformshallnotberesponsiblefortheprivacyprotectionmeasuresofsuchwebsites.
VII.[Miscellaneous]1.Theestablishment,execution,interpretation,anddisputeresolutionofthisagreementshallbegovernedbytheeffectivelawsapplicableinthemainlandofthePeople'sRepublicofChina(excludingitsconflictoflawrules);iftherearenorelevantlegalprovisions,commercialpracticesand/orindustrypracticesshallbereferredto.Intheeventofanyconflictbetweenthisagreementandtheapplicablelaw,suchprovisionsshallbeinterpretedinaccordancewiththelaw,andtheothervalidprovisionsshallremaineffective.
2.Ifanyprovisionofthisagreementisdeemedvoid,invalid,orunenforceableforanyreason,suchprovisionshallbedeemedseverableandshallnotaffectthevalidityandenforceabilityofanyotherprovisions.Unlessotherwiseexpresslystated,anynewcontentthatexpandsorenhancesthescopeofservicesshallbesubjecttothisagreement.
3.IntheeventofanydisputearisingfromthecontentorexecutionofthisagreementbetweentheuserandtheBiddingPlatform,bothpartiesshallmakeeffortstoresolvethedisputeamicablythroughnegotiation;ifnegotiationfails,eitherpartymayinitiatearbitrationorlitigationinthecourtwhereHuaxinCementCo.,Ltd.isregistered.
4.TheBiddingPlatformrespectsthelegitimaterightsofusers.Theagreementandvariousrules,statements,andothercontentpublishedontheBiddingPlatformareallintendedtobetterandmoreconvenientlyprovideservicestousers.
5.TherighttomodifyandinterpretthisagreementbelongstoHuaxinCementCo.,Ltd.,thecreatoroftheBiddingPlatform.
6.Byclickingtheboxfor"Ihavereadandagreetothe'HuaxinCementSupplierManagementSystemOnlineBiddingPlatformUserServiceAgreement'"inthisagreement,theuserisdeemedtohavefullyacceptedthecontentofthisagreement.Pleaseconfirmthatyouhavereadandfullyunderstoodallthecontentsofthisagreementbeforeclicking,andiftheuserhasanyobjectionstoanytermsofthisagreement,theymaychoosenottoregisterasauseroftheBiddingPlatform.
IfyouintendtousetheBiddingPlatform,pleasecarefullyreadthisagreementbeforeaccessing,registering,andusingit.Ifyouhaveanyquestionsabouttheagreement,feelfreetocontacttheplatform.Ifyoudonotraiseanyquestions,wewillconsiderthatyouhavefullyunderstoodandacceptedallthecontentsofthisagreement.
I.[GeneralProvisionsoftheAgreement]1.ThisagreementisconcludedbetweentheuserandHuaxinCementSupplierManagementSystemOnlineBiddingPlatform,createdbyHuaxinCementCo.,Ltd.,andhascontractualeffect.
2.Aftersuccessfulregistration,theuserisresponsibleforthecustodyoftheiraccountandpassword;theusershallbearlegalresponsibilityforallactivitiesandconsequencesconductedundertheiraccount,andanydisputesarisingtherefromshallhavenothingtodowiththeplatform.
3.Unlessotherwiseexplicitlystated,theBiddingPlatformistheunifiedbiddingplatformofHuaxinCementCo.,Ltd.,forHuaxinCementCo.,Ltd.anditsaffiliatedunitstocompleterelatedprocurementandbiddingbusinesswithsuppliersontheplatform.Thespecifictransactionpartiesshallbeartheirrespectiveresponsibilitiesandobligationsinthetransaction.Iftheuserdoesnotagreetothetermsofthisagreement,theusershouldimmediatelystoptheregistrationprocessorstopusingtheHuaxinCementSupplierManagementSystemOnlineBiddingPlatformservices.Onlywhentheuserfullyagreestothisagreementandthesite'sregulationscantheyhavetherighttousetherelatedservicesofthissite.
II.[AcknowledgmentofTerms]1.Thetermsandconditionsinterpretedinthisagreement(hereinafterreferredtoas"Terms")areusedtoprovideservicestousersofthebiddingplatform.Thetermsapplytothemaintextofthisagreementandallrules,systems,andannouncementsthatcanbeuploadedorwillbeuploadedtothebiddingplatforminthefuture.Allrules,systems,andannouncementsareaninseparablepartofthisagreementandhavethesamelegaleffectasthemaintextofthisagreement.Theuserpromisestoacceptandcomplywiththeprovisionsoftherelevantrules,systems,andannouncementswhileusingvariousservicesprovidedbythebiddingplatform.
2.Iftheuserhasobjectionstothenewlymodifiedcontent,theycanstopusingtheservicesprovidedbythebiddingplatformafterfulfillingtheuncompletedresponsibilitiesandobligations,andapplytoexitthebiddingplatform.Oncetheusercontinuestousetheservicesprovidedbythebiddingplatform,itmeansthattheuserhasacceptedthemodifiedcontent.Incaseofdisputesbetweentheuserandthebiddingplatform,theresolutionofdisputesshallbebasedonthelatestversionofthisagreement.
3.Theuserguaranteesandagreesthattheenterprise,organization,orindividualregisteredatthetimeofregistrationhasthefullcivilcapacityandcivilcapacityforactionstipulatedbylawandcanindependentlybearcivilresponsibility.Ifnot,theyshouldimmediatelyterminateregistrationorstopusingtheservicesprovidedbythebiddingplatform.Otherwise,theusershallbearthelegalconsequences.
4.Theuservoluntarilyregistersanaccountontheplatform,usestheplatformfunctionsinaccordancewiththelawandingoodfaith,anddeclaresandguaranteesthattherearenoviolationsrelatedtounfaircompetition,corruption,commercialbribery,etc.,inthecommercialactivitiesconductedontheplatform,andthattheyhavenotintentionallyconcealedtheinvestigationsituationsofadministrativepenalties,criminalresponsibilities,orjudicialdisciplineinspectiondepartments.
5.Anynoticesentbythebiddingplatformtotheusercanbecarriedoutthroughanymeansrelatedtotheplatform,suchaswebpages,email,SMS,orregularmail,andthesenoticesaredeemedtohavereachedtheuseronthedayofsending.
III.[ServiceStatement]1.Theservicesdescribedinthisagreementareonlyvalidonthebiddingplatform,andthespecificcontentoftheserviceswillbeprovidedaccordingtotheactualsituationoftheplatform.Theplatformhastherighttoadjusttheservicecontentatanytimeandisnotresponsibletoanyuserorthirdparty.
2.TheBiddingPlatformonlyprovideselectronicbiddingandotherrelatedinformationservices.Inaddition,theequipmentrelatedtotherelatedservices(suchascomputers,modems,andinternet-relatedequipment,etc.)andtherequiredexpenses(suchastelephonechargesandinternetfeesforaccessingtheinternet,etc.)arebornebytheuserthemselves.
3.TheBiddingPlatformdoesnotmakeanycommitmentorguaranteeregardingthevalidity,accuracy,correctness,reliability,quality,stability,completeness,andtimelinessoftheinformationandservicesprovidedonitswebsite.
4.Usersunderstandandacceptthatthetransmissionofanyinformationdependsontheinformationserviceuseritselfandbearsallrisksandresponsibilitiesforsystemdamageordataloss.
5.TheBiddingPlatform'screator,operator,anditsaffiliatedunitsdonotmakeanyexplicitorimpliedcommitmentsorguaranteesforthecommercialprocessbetweenusersofelectronicbiddingandotherinformationservices.
6.Theauthorizationagreeduponinthisagreementisirrevocable.
IV.[RightsandObligationsofUsers]1.UsershavetherighttoaccesstheBiddingPlatformatanytimeusingtheirownusernameandpassword.TheyhavetherighttochoosefromthevariousinformationservicesprovidedbytheBiddingPlatform.
2.Whenregistering,usersmustcarefullyfillinlegal,true,correct,andvalidinformationandareresponsibleforthetruthfulnessofallinformation.Ifthereareanychangesintheuser'sinformation,theyshouldupdateandrequestreviewinatimelymanner.Otherwise,allresponsibilitiesandlossesarisingshallbebornebytheuserthemselves.
3.Aftersuccessfulregistration,theaccountandpasswordaretheresponsibilityoftheusertokeep,nottobesharedorlenttootherunitsforuse.Whenmultiplepeopleusethesameaccount,theaccountuserhastostrengthenassistanceandmanagementfortheaccount.
4.Whenanaccountuseroradministratorleavesthejob,theymustchangethepasswordinadvancetopreventtheleaverfromcontinuingtousetheaccountorarbitrarilychangingthepassword.
5.Iftheuserdiscoversthattheiraccounthasbeenillegallyusedbyothers,theyshouldimmediatelynotifytheBiddingPlatform.TheBiddingPlatform'sestablishmentunit,operationunit,andaffiliatedcompaniesdonotbearanyresponsibilityforhackingorusernegligenceleadingtotheillegaluseofaccountsandpasswords.
6.FilesuploadedtotheBiddingPlatformthroughtheaccount(suchastenderdocuments,businesslicenses,legalpersoninformation,etc.)andrelatedactions(suchasbidding,tendering,informationmodification,etc.)areconsidereduseractions,equivalenttothewilloftheenterprise,organization,orindividualrepresentedbytheuser,andhavethesamelegaleffectassigningandsealing,andtheuserbearsthecorrespondingresponsibilitiesandobligations.
7.UsersarenotallowedtologinwithtwoormoreuseraccountsusingthesameIPaddress.Iffound,therelateduserswillbetemporarilydisqualifiedfrombidding,andaftersubsequentprocessing,itwillbedecidedwhethertheusercancontinuetousetheiraccountandmakebids.
8.Usersmustcomplywiththefollowingprinciplesduringtheuseofthisservice:
(1)ComplywithrelevantlawsandregulationsofthePeople'sRepublicofChina;
(2)Complywithallnetworkprotocols,regulations,andproceduresrelatedtonetworkservices;
(3)Donotusethenetworkservicesystemforanyillegalpurposes;
(4)DonotusetheBiddingPlatformservicetoinfringeonthecommercialinterestsoftheBiddingPlatform,includingbutnotlimitedtopublishingcommercialadvertisementswithoutpermissionfromtheBiddingPlatform;
(5)DonotengageinanybehaviorthatmayadverselyaffectthenormaloperationoftheInternet;
(6)DonotusetheBiddingPlatformservicetoupload,display,ordisseminateanyfalse,harassing,defamatory,insulting,threatening,vulgar,obscene,oranyotherillegalinformation;
(7)Donotinfringeonanythirdparty'spatentrights,copyright,trademarkrights,reputation,privacy,oranyotherlegalrightsandinterests;
(8)DonotengageinanybehaviorthatisdetrimentaltotheBiddingPlatformservice;
(9)Usersarefullyresponsiblefortheinformationtheypost;
(**)Donotengageinanyotheractivitiesthatviolatenationallawsandregulationsortheprovisionsofthisagreement.
V.[ForceMajeureandOtherExemptions]1.Intheeventofforcemajeure(includingbutnotlimitedtonaturaldisasterssuchasfloods,earthquakes,epidemics,storms,andsocialeventssuchaswars,riots,andgovernmentactions),whicharebeyondthecontroloftheBiddingPlatform,resultinginpartialorcompleteinabilitytocarryoutactivities,theBiddingPlatformwillstrivetorepairinatimelymanner.TheBiddingPlatformshallnotbearanyresponsibilityforlossescausedtousersduetoforcemajeure.
2.Withinthescopepermittedbylaw,theBiddingPlatformshallnotbeliableforserviceinterruptionsorhindrancescausedbythefollowingcircumstances,butwillmakeeffortstominimizethelossesandimpactscausedtoyou:
(1)Destructioncausedbycomputerviruses,Trojanhorses,orothermaliciousprograms,orhackerattacks;
(2)Hardwarefailuresoftheuser'sorcentralcomputersystem,communicationlinefailures,andanyfactorsaffectingthenormaloperationofthenetworkduetogovernmentregulations,includingtemporaryclosures;
(3)Servicesuspensionsthatoccurduringsystemmaintenanceandupgradesontheplatform.
3.TheBiddingPlatformdoesnotmakeanydirect,indirect,statutory,orcontractualguarantees,whetherexpressorimplied,foranycontent,services,orotherlinkstootherwebsitesrelatedtotheuser'suseoftheBiddingPlatform.
4.Regardlessofanycause(includingbutnotlimitedtonegligence),theBiddingPlatformshallnotberesponsibleforanylossordamage(includingdirect,indirect,special,orconsequentiallossesordamages,suchaslossofincomeorprofit,damagetocomputersystems,ordataloss)causedtoanypersonthroughtheuseofinformationonthisplatformorinformationlinkedfromthisplatform,orotherwebsiteslinkedtothisplatform.Theresponsibilityshallbebornebytheuser(includingbutnotlimitedtonegligence).
5.TheBiddingPlatformmaydeleteanycontentonthesitethatdoesnotcomplywithlegalpoliciesorisnottruewithoutnotifyingtheuser.
6.IftheuserdoesnotcomplywiththeprovisionsofSectionFourofthisagreement,theBiddingPlatformhastherighttointerruptorterminatetheprovisionofservicestotheuser,hastherighttomakeindependentjudgments,andmaytakemeasuressuchassuspendingorclosingtheaccount,withouttheneedtonotifyorobtaintheuser'sconsent,andshallnotbearanyresponsibilitytotheuseroranythirdparty.
VI.[PrivacyStatement]1.RespectinguserprivacyisafundamentalprincipleoftheBiddingPlatform.TheBiddingPlatformpromisesnottodiscloseanynon-publiccontentsavedbyusersonthewebsite,andwillnotuseuserdataforanypurposesunrelatedtotheservicesagreeduponinthisagreement.Unlesslegallypermitted,required,orinthefollowingthreesituationswheretheBiddingPlatformdeemsitnecessarytodisclosesuchcontent:
(1)TocomplywiththelegalserviceproceduresoftheBiddingPlatform;
(2)Whenitisnecessarytoprovidetothirdpartiesasrequiredbylawsandregulations;
(3)Inemergencysituations,toprotecttheinterestsoftheBiddingPlatformandallusers,andpublicsafety.
2.UserRegistrationInformation:
(1)"UserInformation"includesanyinformation,includingdata,text,photos,drawings,images,phrases,orothermaterials,transmittedtotheBiddingPlatforminanyformduringtheprocessofregistration,purchasingbiddingdocuments,bidding,projectestablishment,preparationofbiddingdocuments,answeringquestions,clarification,openingbids,bidevaluation,biddetermination,objections,andcomplaints.Theusershallbefullyresponsibleforthe"UserInformation".IftheBiddingPlatformdeemsthatthe"UserInformation"violatesthelaws,regulations,andnormativedocumentsofthePeople'sRepublicofChina;publicinterestorpublicmorality;thisagreementandrelatedrules,whichmaycausetheBiddingPlatformtobearanylegalormoralresponsibility,theBiddingPlatformmayindependentlydecidetotakeanyactionitdeemsnecessaryorappropriatetothe"UserInformation",includingbutnotlimitedtodeletingsuchinformation.Theuserherebyguaranteesthattheyhavealllegalrightstothe"UserInformation"submittedtotheplatform.
(2)Theusershallnotcopy,duplicate,sell,resell,oruseanypartofthisserviceortheinformationobtainedfromthisserviceforanyothercommercialpurposes.
(3)TheBiddingPlatformtracksIPaddressessolelyforthenecessityoffairness,justice,andsecurity.Ifnoissuesarefound,thecollectedIPaddresseswillbedeletedpromptly.
3.ExternalLinks:TheBiddingPlatformcontainslinkstootherwebsites.Anycontent,promotion,products,orservicesprovidedonthelinkedwebsitesorresourcesarenotrelatedtothiswebsite,andtheBiddingPlatformshallnotberesponsiblefortheprivacyprotectionmeasuresofsuchwebsites.
VII.[Miscellaneous]1.Theestablishment,execution,interpretation,anddisputeresolutionofthisagreementshallbegovernedbytheeffectivelawsapplicableinthemainlandofthePeople'sRepublicofChina(excludingitsconflictoflawrules);iftherearenorelevantlegalprovisions,commercialpracticesand/orindustrypracticesshallbereferredto.Intheeventofanyconflictbetweenthisagreementandtheapplicablelaw,suchprovisionsshallbeinterpretedinaccordancewiththelaw,andtheothervalidprovisionsshallremaineffective.
2.Ifanyprovisionofthisagreementisdeemedvoid,invalid,orunenforceableforanyreason,suchprovisionshallbedeemedseverableandshallnotaffectthevalidityandenforceabilityofanyotherprovisions.Unlessotherwiseexpresslystated,anynewcontentthatexpandsorenhancesthescopeofservicesshallbesubjecttothisagreement.
3.IntheeventofanydisputearisingfromthecontentorexecutionofthisagreementbetweentheuserandtheBiddingPlatform,bothpartiesshallmakeeffortstoresolvethedisputeamicablythroughnegotiation;ifnegotiationfails,eitherpartymayinitiatearbitrationorlitigationinthecourtwhereHuaxinCementCo.,Ltd.isregistered.
4.TheBiddingPlatformrespectsthelegitimaterightsofusers.Theagreementandvariousrules,statements,andothercontentpublishedontheBiddingPlatformareallintendedtobetterandmoreconvenientlyprovideservicestousers.
5.TherighttomodifyandinterpretthisagreementbelongstoHuaxinCementCo.,Ltd.,thecreatoroftheBiddingPlatform.
6.Byclickingtheboxfor"Ihavereadandagreetothe'HuaxinCementSupplierManagementSystemOnlineBiddingPlatformUserServiceAgreement'"inthisagreement,theuserisdeemedtohavefullyacceptedthecontentofthisagreement.Pleaseconfirmthatyouhavereadandfullyunderstoodallthecontentsofthisagreementbeforeclicking,andiftheuserhasanyobjectionstoanytermsofthisagreement,theymaychoosenottoregisterasauseroftheBiddingPlatform.
